These draft terms are presented for private beta planning and counsel review. They are not intended to replace a signed beta, subscription, or enterprise agreement. When production terms become effective, using LeadRx after the stated effective date may constitute acceptance of those terms.
2. Eligibility and authority
A user must be legally able to enter an agreement and authorized to act for the organization associated with the workspace. LeadRx is designed for business use, not use by children or unauthorized consumers.
3. Accounts and workspaces
Users are responsible for accurate account information, safeguarding access, activity under their account, and promptly reporting suspected compromise. Workspace owners control membership and should remove access when it is no longer needed.
4. Beta service
Beta features may be incomplete, change without notice, include usage limits, or be suspended for safety and maintenance. Tellbyte LLC may request feedback and may decide not to release a beta capability. Beta access does not create a promise of availability, uptime, compatibility, or a future price.
5. Permitted use
Customers may use LeadRx for authorized business research, review, organization, and related workflows subject to these terms, the acceptable use policy, provider terms, and applicable law. Users must independently assess whether outreach, data use, export, or a downstream action is lawful and appropriate.
6. Customer content and instructions
Customers retain rights in content they submit, subject to any rights held by others. Customers grant Tellbyte LLC the limited rights reasonably needed to host, process, secure, and display that content and to follow authorized instructions. Customers represent that they have the necessary rights and permissions for the content and instructions they provide.
7. Public sources and third-party services
LeadRx may connect to or reference third-party maps, websites, email providers, authentication services, and public business sources. Those services have their own terms, availability, data, and decisions. Tellbyte LLC does not control or guarantee third-party services or the accuracy of public information.
8. Fees and future plans
Public pricing is not final. A paid order, checkout, or signed agreement should identify applicable fees, usage, taxes, renewal, and cancellation terms. Preview descriptions of planned tiers do not create an offer or a right to a future price.
9. Product ownership
Tellbyte LLC and its licensors retain rights in LeadRx, including software, designs, branding, documentation, and improvements, excluding customer content and third-party materials. No rights are granted except those expressly needed to use the service under an applicable agreement.
10. Feedback
Customers may provide suggestions and beta feedback. Unless a separate written agreement says otherwise, Tellbyte LLC may use that feedback without restriction or payment, while avoiding public attribution without permission.
11. Suspension and enforcement
Access may be limited or suspended when reasonably necessary to prevent harm, investigate abuse, comply with law, protect the service or others, address nonpayment under a future paid plan, or enforce an agreement. Where practical, notice and a path to cure should be provided.
12. Disclaimers
To the maximum extent permitted by law, beta services and public business information are provided on an "as is" and "as available" basis. LeadRx does not guarantee complete market coverage, data accuracy, contact accuracy, sales outcomes, uninterrupted operation, or that a business needs a particular service. Users must review important evidence and make their own decisions.
13. Liability framework
Final limitations of liability, exclusions, indemnity obligations, and remedy terms require counsel review and may vary by agreement and jurisdiction. No limitation in final terms should exclude liability that cannot lawfully be limited.
14. Termination and data handling
A user may stop using the service. Tellbyte LLC may end beta access or an agreement according to its terms. After termination, access may end and customer content may be deleted after an appropriate export or retention period, subject to legal and security obligations.
15. Governing law and disputes
The final production terms are expected to identify governing law, venue, notice, and dispute procedures after counsel review. This draft does not create an arbitration agreement, class-action waiver, or exclusive venue clause.
